Welcome to Orange Workspaces! By booking or using our services, you agree to the following terms. Please read them carefully.

1. Eligibility

You must be at least 18 years old to book our spaces and agree to these terms. By booking, you confirm that you are.

2. Booking & Payment

  • Reservation Requirements: All bookings must be made through our online system at orangeworkspaces.com, book.orangeworkspaces.com or our app “Optix”
  • Payment: Full payment is required at the time of booking. We accept major credit cards.
  • Booking Confirmation: You will receive an email and SMS confirmation with details of your reservation.

3. Cancellation & Refund Policy

  • Notice Period: Cancellations must be submitted at least 24 hours before the reservation start time.
  • Evaluation: All cancellation requests are reviewed on a case-by-case basis.
  • Non‑Guaranteed Refunds: While we strive to accommodate requests, refunds are not guaranteed. Any approved refunds may incur a processing fee.

4. Use of Facilities

  • Access: You will receive access instructions (e.g., door code) for the reserved time slot only.
  • Conduct: Please respect fellow members and maintain a professional environment. No loud or disruptive behavior.
  • Cleanliness: Leave the space as you found it. Dispose of trash and return furniture to its original arrangement.

5. Guests & Visitors

  • Your Responsibility: You are responsible for anyone you invite, and for making sure they follow these terms.
  • Supervision: Please keep your guests with you and do not leave them in the space unattended.
  • Their Conduct: Anything your guests do, including any damage, is treated as if you did it.

6. Prohibited Uses

To keep the space safe and professional for everyone, you agree not to:

  • Use the space for anything illegal, or in a way that disturbs or endangers others;
  • Harass, threaten, or discriminate against anyone;
  • Bring in weapons or hazardous materials;
  • Smoke or vape anywhere on the premises;
  • Sleep or stay overnight, or use the space as a residence;
  • Share, resell, or transfer your access code or booking to anyone else;
  • Bring pets, other than service animals.

7. Wi-Fi & Acceptable Use

  • At Your Own Risk: We provide Wi-Fi as a convenience, but we cannot guarantee it will always be available or secure. Use it at your own risk.
  • Lawful Use: Do not use our network for anything illegal, or to harm, hack, or overload it.
  • Your Devices: You are responsible for protecting your own devices and files.

8. Alcohol Policy

The following applies to any booking or event where alcohol is present, including reservations of the Conference Room and other meeting spaces.

  • Not for Sale: Any alcohol is complimentary or brought by you and your guests. Alcohol is not sold, and you may not sell alcohol, charge for it, or include it in any admission, ticket, or booking price.
  • 21 and Over Only: All persons consuming alcohol must be 21 or older. You are responsible for verifying the age of everyone in your party and for ensuring no one under 21 is served or consumes alcohol on the premises.
  • Responsible Service: You will not serve, or allow alcohol to be served to, anyone who is visibly intoxicated, and you are responsible for the conduct of your attendees and their guests.
  • Legal Compliance: You will comply with all applicable laws, including California Department of Alcoholic Beverage Control (ABC) regulations and City of Orange ordinances.
  • Indemnification: You assume full responsibility for alcohol at your booking and agree to indemnify, defend, and hold harmless Orange Workspaces (Pring Design), its owner, and its landlord, Urth Old Towne Development, LLC, from any claim, damage, or liability arising from alcohol at or related to your booking.
  • Safe Transportation: You will arrange safe transportation for anyone who has been drinking. No one should drive while impaired.
  • Our Discretion: Orange Workspaces may refuse, limit, or stop alcohol service, and may end a booking, if this policy is violated.

9. Liability & Indemnification

  • Personal Belongings: You are responsible for your own property. We are not liable for loss, theft, or damage.
  • Damages: You agree to cover any damages caused during your reservation.
  • Indemnification: You will indemnify and hold Orange Workspaces harmless from any claims arising out of your use of the facilities.

10. Assumption of Risk

You use Orange Workspaces and its facilities at your own risk. To the fullest extent allowed by law, you release Orange Workspaces from any claims for injury, loss, or damage that happen while you or your guests are using the space, except when caused by our gross negligence or willful misconduct.

11. Service Availability & Limitation of Liability

  • Provided “As Is”: Our spaces and services are provided as is. We do not guarantee they will always be available or uninterrupted.
  • Interruptions: We are not responsible for interruptions to Wi-Fi, power, heating and cooling, building access, or other services, or for any lost work or business that results.
  • Limit on Liability: To the fullest extent allowed by law, our total liability to you for any claim is limited to the amount you paid us for the booking involved, and we are not liable for indirect or consequential damages.

12. Intellectual Property

All content on our website, including logos, text, and images, is owned by Orange Workspaces and protected by copyright. You may not reproduce or use any materials without our written permission.

13. Privacy

Your use of our services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

14. Force Majeure

We are not responsible for any failure or delay caused by events beyond our reasonable control, such as natural disasters, power or internet outages, emergencies, government orders, or building closures.

15. Changes to Terms

We may update these Terms and Conditions at any time. The latest version will always be available at orangeworkspaces.com/terms. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms and Conditions are governed by the laws of the State of California, without regard to its conflict-of-law rules.

17. Severability & Entire Agreement

  • Severability: If any part of these terms is found to be invalid, the rest still applies.
  • Entire Agreement: These terms, together with any booking or membership agreement you sign, make up the full agreement between you and Orange Workspaces.
